These Terms & Conditions (“Terms”) are a legally binding agreement between you (“you” or “Customer”) and Client Flow CRM, a technology brand owned and operated by Coury Insurance Group LLC (“Client Flow CRM,” “we,” “us,” or “our”) governing your access to and use of our website at https://cflowcrm.com and our application at https://app.cflowcrm.com (collectively, the “Service”).

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and Account Registration

You must be at least 18 years old and able to form a binding contract in your jurisdiction to use the Service. You are responsible for maintaining the confidentiality of your login credentials and all activity that occurs under your account. If you believe your account has been compromised, notify us immediately at [email protected].

2. The Service

Client Flow CRM provides CRM software tools including contact management, pipelines, automation workflows, calendars, messaging features, and reporting. We may add, change, or remove features from time to time. We may also perform maintenance that may temporarily affect availability.

3. Subscriptions, Free Trial, and Billing

Free Trial: If we offer a free trial, you receive access to the Service during the trial period stated at sign-up. Unless you cancel before the end of the trial, your subscription will automatically convert to a paid subscription at the then-current rate.

Recurring Billing Authorization: By starting a paid subscription, you authorize us (and our payment processor) to charge your selected payment method on a recurring basis until you cancel.

Pricing Changes: We may change pricing or plan features from time to time. We will provide reasonable notice before any changes apply to your active subscription.

4. Taxes

You are responsible for any applicable taxes, duties, or government charges related to your purchase, where required by law.

5. Refunds and Cancellation

Refund and cancellation terms are described in our Refund & Cancellation Policy. You can cancel anytime, and cancellation generally takes effect at the end of the current paid billing period.

6. Customer Responsibilities and Acceptable Use

You agree to use the Service lawfully and responsibly. You may not use the Service to violate laws, transmit harmful content, send spam, or interfere with the operation or security of the Service.

7. SMS, Calling, Email, and Compliance (Important)

If you use the Service for SMS, calling, or email, you are solely responsible for complying with all applicable laws, including TCPA, CAN-SPAM, and A2P 10DLC carrier policies. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

8. Third-Party Services and Platform Dependencies

The Service relies on third-party providers (e.g., hosting, Stripe, and messaging carriers). We are not responsible for outages, delays, or deliverability issues caused by third-party carriers or networks.

9. Your Data and Content

You retain ownership of the data you upload (“Customer Data”). You grant us permission to host and process this data only as necessary to provide the Service. You are responsible for the legality and accuracy of your data.

10. Backups and Exporting Data

While we perform routine backups, you are responsible for exporting or retaining copies of your data. After cancellation, access may be disabled and data may be deleted according to our retention policies.

11. Intellectual Property

The Service and its original content are owned by Client Flow CRM and/or its licensors. We grant you a limited, non-exclusive license to use the Service during an active subscription for internal business purposes.

12. Suspension and Termination

We may suspend or terminate your access to the Service if you violate these Terms, create legal exposure for us, or if your payment method fails.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIENT FLOW CRM WILL NOT BE LIABLE FOR INDIRECT OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRIOR TO THE CLAIM.

15. Indemnification

You agree to defend and indemnify Client Flow CRM and its parent company, Coury Insurance Group LLC, from claims arising from your use of the Service, your data, or your violation of these Terms.

16. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.
